Which Way to the Grey Havens

After reading the books a few years ago, and seeing the movie I am unclear on where the elves are going when they sail across the sea. I know they are going to the grey havens, but I am mostly unclear on why they are leaving. Is it because the power of their rings are going to be lost? Or is it because Middle Earth is changing and they don't want to change? I tried to explain this to some friends, but failed miserably in doing so...
